Terms of Service & End-User License Agreement

This Agreement governs your use of Pivot CMS, a self-hosted content management system distributed by Pivot Labworks LLC ("Pivot Labworks", "we", "us"). By installing, activating a license for, or otherwise using Pivot CMS (the "Software"), you ("Licensee", "you") agree to be bound by these terms.

If you do not agree, do not install or use the Software.

1. License grant

1.1 Free tier (Solo)

Pivot Labworks grants you a non-exclusive, non-transferable, worldwide license to install and use the Software at no cost, subject to the following limits:

• One (1) user account per install
• The "Powered by Pivot CMS" attribution footer must remain visible on the public-facing site
• The unlicensed-state notice may appear in the admin interface

1.2 Paid tier (Pro)

Upon purchase and successful activation of a valid license key, Pivot Labworks grants you a non-exclusive, non-transferable, worldwide, perpetual license to use the Software for the major version your license covers (e.g. a v1 license covers all v1.x.x releases). The Pro license:

• Removes the one-user limit; you may create unlimited user accounts and assign roles
• Removes the "Powered by Pivot CMS" attribution footer and the unlicensed-state admin notice
• Covers a single public deployment ("Site"). Local, private-network, and staging deployments are exempt and do not consume a license slot.
• Is perpetual within the licensed major version — you receive all minor and patch updates within that major version forever, with no renewal fee

1.3 Major version upgrades

A new major version of the Software (e.g. v2.0.0) is a separate product offering and requires a separate license purchase. Pivot Labworks may offer discounted upgrade pricing for existing license holders at its discretion. You are never required to upgrade; your existing license continues to cover your major version indefinitely.

2. License activation & deactivation

The Software uses LemonSqueezy ("LemonSqueezy", an Ireland-based merchant of record) to issue and verify license keys. By purchasing a license, you also accept LemonSqueezy's terms of service.

Each license key may be activated on one Site at a time. You may deactivate a license from the admin Settings panel at any time, which frees the activation slot and allows you to reuse the key on another Site immediately. No support ticket or waiting period is required.

Local, private-network (RFC1918), and mDNS-resolved (*.local) deployments are automatically exempt from license enforcement and never consume an activation slot.

3. Permitted use

You may:

• Install the Software on as many of your own servers as you wish, subject to the per-Site license rule for the paid tier on public deployments
• Build, host, and publish websites, applications, and digital products using the Software
• Use the Software for commercial projects, client work, and internal business use
• Build and distribute components, modules, templates, and themes for use with the Software, including for sale

4. Restrictions

You may not:

• Redistribute, resell, sublicense, rent, or lease the compiled Software package as a standalone product or as part of a competing CMS
• Remove, alter, obfuscate, or bypass the "Powered by Pivot CMS" attribution footer, the license-check logic, or the admin license notice on an unlicensed public deployment
• Reverse-engineer, decompile, or disassemble the Software for the purpose of bypassing license enforcement or producing a derivative product
• Use the Software for any unlawful purpose, including but not limited to hosting content that is illegal in your jurisdiction
• Use Pivot Labworks' trademarks, including "Pivot CMS" and the Pivot ring mark, except to truthfully refer to the Software

Nothing in this section restricts your ability to share, publish, or sell the content, components, modules, templates, or themes you create while using the Software.

5. Refunds and consumer rights

5.1 Standard 14-day refund

You may request a full refund within 14 days of purchase, provided that you deactivate the license key from your install before the refund is processed. Deactivation is one click in the admin Settings panel and frees the activation slot immediately.

After 14 days, all sales are final, subject to the statutory consumer rights described below.

5.2 EU / EEA / UK right of withdrawal (digital content)

If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, you have a 14-day right of withdrawal for distance contracts under the Consumer Rights Directive (2011/83/EU) and the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Pivot CMS is "digital content not supplied on a tangible medium." By purchasing a license and activating it (which causes download and immediate performance of the licensed software), you:

• Expressly consent to the immediate performance of the contract before the end of the 14-day withdrawal period, AND
• Acknowledge that you will lose your statutory right of withdrawal once performance has begun.

Notwithstanding the loss of the statutory withdrawal right, Pivot Labworks voluntarily grants the 14-day money-back refund described in Section 5.1 to all customers, regardless of jurisdiction.

5.3 UK Consumer Rights Act 2015 — statutory rights

If you are a consumer in the United Kingdom, the Consumer Rights Act 2015 grants you statutory rights regarding digital content, including the right that the digital content be of satisfactory quality, fit for purpose, and as described. Nothing in this Agreement excludes or limits these statutory rights. If the Software does not conform to those standards, you may be entitled to repair, replacement, or a price reduction (which may be the full price) as provided by law.

5.4 Other jurisdictions

Consumers in other jurisdictions retain any non-waivable statutory rights under their local consumer-protection law. Nothing in this Agreement is intended to limit those rights.

5.5 Taxes

All purchases are processed by LemonSqueezy (Pivot Labworks' merchant of record). LemonSqueezy is responsible for collecting and remitting any applicable value-added tax (VAT), goods-and-services tax (GST), or US state sales tax based on your billing location. The advertised price may exclude such taxes; the final invoice from LemonSqueezy will display them.

6. Updates & support

Pivot Labworks may release updates, patches, and new versions of the Software at its discretion. Updates within your licensed major version are included at no additional cost for the lifetime of your license.

Best-effort technical support is provided via the contact channels published at labworks.pivot.gdn. Pivot Labworks does not guarantee a specific response time for the free tier; Pro license holders receive priority response on a best-effort basis.

7. Ownership

Pivot Labworks retains all right, title, and interest in the Software, including all intellectual property rights. This Agreement grants you a license, not a sale, of the Software.

You retain all right, title, and interest in the content, components, modules, templates, themes, and other materials you create while using the Software.

8. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. PIVOT LABWORKS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

IN NO EVENT SHALL PIVOT LABWORKS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF PIVOT LABWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Pivot Labworks' total cumulative liability for all claims arising under this Agreement shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pivot Labworks LLC, its officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Software; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; (d) content you publish, host, or process using the Software; or (e) your infringement of any third-party right, including any intellectual property or privacy right. Pivot Labworks reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Pivot Labworks' defense of such claim.

11. Termination

This Agreement is effective until terminated. Pivot Labworks may terminate this Agreement immediately if you breach any term, including improper use of the Software, removal of required attribution, or attempts to bypass license enforcement. Upon termination, you must stop using the Software and uninstall it from all deployments.

The Sections covering Ownership, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law survive termination.

12. Export controls and sanctions

The Software is subject to United States export control laws, including the Export Administration Regulations (EAR), and to sanctions administered by the US Department of the Treasury's Office of Foreign Assets Control (OFAC). You represent and warrant that:

• You are not located in, under the control of, or a national or resident of any country subject to a US embargo (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine);
• You are not on any US government list of restricted or prohibited parties (including the Specially Designated Nationals List, the Denied Persons List, and the Entity List);
• You will not use, export, re-export, or transfer the Software in violation of any applicable export control or sanctions law.

13. Changes to these terms

Pivot Labworks may update this Agreement from time to time. The current version is always posted at cms.pivot.gdn/terms.html with the effective date at the top of the document. Material changes will be announced via the in-app update banner or email to license holders. Continued use of the Software after the effective date constitutes acceptance of the revised terms.

14. Governing law and dispute resolution

This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict of laws provisions, and excluding the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Orange County, Florida, and each party submits to the personal jurisdiction of those courts.

Carve-out for consumers. If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you the right to bring proceedings in the courts of your country of residence and prevents you from being deprived of mandatory consumer protections of your home jurisdiction, this Section 14 does not affect those rights. You may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.

15. Force majeure

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemic, epidemic, government action, embargo, labor dispute, internet or telecommunications outage, power failure, or natural disaster.

16. Assignment

You may not assign or transfer this Agreement or any of your rights or obligations under it without the prior written consent of Pivot Labworks. Pivot Labworks may assign this Agreement, in whole or in part, to any successor in interest (for example, in connection with a merger, acquisition, or sale of all or substantially all of its assets) without your consent. Any attempted assignment in violation of this Section is void.

17. Severability

If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if that is not possible, severed from this Agreement. The remaining provisions shall continue in full force and effect.

18. Waiver

Pivot Labworks' failure to enforce any right or provision of this Agreement shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Pivot Labworks.

19. Entire agreement

This Agreement, together with the Privacy Policy and any documents expressly incorporated by reference, constitutes the entire agreement between you and Pivot Labworks regarding the Software, and supersedes all prior or contemporaneous communications, representations, and agreements, whether oral or written.

20. Trademarks

"Pivot CMS", "Pivot Labworks", and the Pivot ring mark are trademarks of Pivot Labworks LLC. All other trademarks referenced in the Software or this Agreement are the property of their respective owners. Nothing in this Agreement grants you any right to use Pivot Labworks' trademarks except as expressly permitted under Section 4.
